Our Partners recently contributed to two chapters of the Singapore edition of the Chambers Global Practice Guide: Commercial Contracts 2025, offering a comprehensive analysis of Singapore’s commercial contracts landscape for businesses, in-house counsel and practitioners seeking to navigate Singapore’s increasingly sophisticated and digitally driven contracting environment.
In the Law & Practice chapter, our Co-Head of Mergers & Acquisitions Andrew Ang, together with Partners Audrey Chng, Chan Jia Hui and Soong Wen E, provide a detailed overview of the legal framework governing commercial contracts in Singapore. They examine core principles of contract formation, interpretation, and enforceability. The chapter also reviews significant judicial developments relating to governing law, arbitration agreements, limitation of liability, force majeure, frustration, and remedies, while outlining the practical implications of digital contracting, electronic signatures and sector-specific regulatory requirements.
In the Trends & Developments chapter, our Co-Head of Mergers & Acquisitions Chan Sing Yee, alongside Partners Quak Fi Ling, Anna Tan and Ling Pei Lih, highlight the emerging themes shaping commercial contracting in 2025, including the selection of governing law in cross-border transactions, and the growing adoption of technology-enabled contracting processes. They also examine evolving market trends in risk allocation, and developments in drafting practices following recent case law.
