CHAN Sing Yee is the Co-Head of the Mergers & Acquisitions Practice and a Partner in the Private Equity Practice. Her main areas of practice are local and cross border mergers and acquisitions, joint ventures, privatisations, and general corporate and commercial transactions and advisory work.
With over 20 years of legal experience under her belt, Sing Yee has a track record in managing complex, high-value and landmark corporate transactions. Sing Yee sits on the Programme & Services Committee of the Shared Services for Charities Limited (“SSC”), a registered charity and a full member of the National Council of Social Service in Singapore where she contributes her views on the various programmes and services rolled out by the SSC to charities in Singapore to enhance governance standards of charities in achieving organisational excellence.
Significant transactions that Sing Yee has been involved in include advising / acting for the following:
- Great Eastern Holdings Limited in the S$1.4 billion voluntary general offer by Oversea-Chinese Banking Corporation Limited, as well as the subsequent proposal for the voluntary delisting of Great Eastern Holdings Limited or the resumption of trading of its shares on the SGX-ST by way of a bonus issue.
- Olam Group Limited in the proposed sale of its remaining 64.57% stake in Olam Agri to SALIC (the food and agricultural investment arm of the Saudi sovereign wealth fund, PIF) for a consideration of approximately S$2.35 billion (subject to closing adjustments).
- Singapore Telecommunications Limited ("Singtel") in its participation in a consortium with Kohlberg Kravis Roberts & Co. L. P. ("KKR"), a global investment firm (the "Consortium"), for the Consortium's investment of S$1.75 billion in STT GDC Pte. Ltd., a leading data centre colocation services provider. The investment is the largest digital infrastructure investment in Southeast Asia to date in 2024.
- UBS Group AG with respect to its merger with Credit Suisse Group AG by way of a statutory merger under the Swiss Merger Act. Under the deal, UBS agreed to buy Credit Suisse for 3 billion Swiss francs (S$4.5 billion) in stock and to assume up to 5 billion francs in losses that would stem from winding down part of the business.
- CapitaLand Limited ("CapitaLand") in its acquisition of the Ascendas-Singbridge group of companies from Ascendas-Singbridge Pte. Ltd. The deal is valued at S$11 billion and makes CapitaLand the largest diversified real estate group in Asia, with assets under management of S$123.4 billion.
- SGX on its approximately US$200 million investment as a limited partner in a private equity fund managed by 7RIDGE, a specialised growth equity firm invested in transformative technologies.
